Terms of Service

1. Subject matter and scope

The Service is a web application providing shipment tracking, maintenance of accounting records, returns management, functions assisting with the handling of customer messages, and notification delivery for Amazon sellers. The Service is directed at businesses engaged in commercial activity; the User confirms that the account is used in the course of that commercial activity.

The Privacy Policy forms an integral part of this Agreement.

DropPanel is an independent product and has no partnership, affiliation or endorsement relationship with Amazon.com, Inc. or its affiliates. Amazon and related marks belong to their respective owners.

The User agrees to hold DropPanel harmless from third-party claims arising out of the User's use of the Service in breach of this Agreement, of applicable legislation or of third-party rights, or out of the unlawful entry of data into the panel, and to compensate the direct damages incurred by DropPanel as a result.

13. Intellectual property

The software, design, trade marks and content relating to the Service belong to DropPanel and are protected by applicable law. The User is granted a non-exclusive, non-transferable right to use the Service in accordance with this Agreement. The User's own data falls outside the scope of this section.

14. Force majeure

Natural disasters, war, epidemics, cyber attacks, decisions of public authorities, interruptions in electricity or communications infrastructure, and circumstances originating from service providers that lie beyond the reasonable control of the parties constitute force majeure. Failure to perform obligations during a force majeure event does not constitute default.

15. Assignment and transfer

The User may not assign its rights and obligations under this Agreement to third parties without DropPanel's written consent. DropPanel may assign this Agreement in the event of a transfer of the business, a merger or a reorganisation, provided that the same level of protection is maintained.

16. Notices

Notices between the parties are given via the email address registered on the User's account and via support@droppanel.net. In-app announcements likewise constitute valid notice. The User is obliged to keep the registered email address up to date.

17. Severability and waiver

Should any provision of this Agreement be held invalid or unenforceable, the validity of the remaining provisions is unaffected, and the invalid provision shall be deemed replaced by a valid provision closest to the intention of the parties. A failure by DropPanel to exercise any right under this Agreement does not constitute a waiver of that right.

18. Entire agreement and amendments

This Agreement together with the Privacy Policy constitutes the entire relationship between the parties. DropPanel may update this Agreement; the current version is published on this page with its effective date and version number, and material changes are additionally announced within the application. Continued use of the Service following a change constitutes acceptance of the updated Agreement.

19. Governing law and jurisdiction

This Agreement is governed by the laws of the Republic of Türkiye. The courts and enforcement offices at DropPanel's place of business have jurisdiction over disputes arising out of this Agreement.
